Terms of Engagement & Client Agreement

These Terms of Engagement & Client Agreement (the “Agreement”) govern access to and use of Jireh Profits websites, operator consoles, expert advisors (“EAs”), reporting tooling, CRM and desk software, onboarding, and related services (collectively, the “Services”).

By creating an account, checking acknowledgment boxes, typing a signature, clicking “Sign up,” “Sign,” “Accept,” or otherwise continuing past an acceptance step, you (“Client,” “Operator,” or “you”) confirm that you have read, understood, and agree to be bound by this Agreement and the linked Risk Disclosures.

This document is product copy presented for operational clarity and informed consent on the Jireh Profits site. It is not legal advice and is not certified by an attorney for any jurisdiction. If you require counsel-reviewed terms for your situation, obtain independent legal advice before purchasing a tier or enabling managed services.

Quiet brand note: the name “Jireh” evokes provision and stewardship. That framing does not create fiduciary status, religious obligation, profit promise, or pastoral duty. Stewardship language describes how we aim to operate the desk — carefully — not a guarantee of outcomes.

Jireh Profits provides capital-operations infrastructure: tier-based EA licensing and deployment rights, risk governance tooling, monitoring and reporting surfaces, CRM and Projects & Tasks access (by tier), onboarding workflows, and optional managed-desk services under a separate managed engagement.

The Services are infrastructure and tooling. They are not brokerage services, not a prop firm, not investment advice, not a signal service, and not a promise of funding or profitability.

Feature availability depends on the purchased operator tier, entitlements, deployment mode (platform-operated vs client-operated), and whether optional management is enabled for a given account. Higher tiers may include white-label or sub-user infrastructure; Fifth tier positions entrepreneurship-oriented systems access (CRM, Projects & Tasks, multi-account rails) without claiming white-label or a full community suite by default.

Community building tools (forums, cohort tooling, deeper network features) may appear on the product roadmap. Unless expressly marked as shipped for your entitlement, such tools are planned for later and are not part of today’s guaranteed deliverable.

For each managed account under a signed managed arrangement: Net Monthly Profit means realized and unrealized results attributable to that account for the billing month, as determined from the books, broker/prop statements, and desk ledgers Jireh reasonably relies on, after ordinary trading costs visible in those sources, and before the performance share itself.

Performance share = 25% × max(0, Net Monthly Profit) for that account for that month. If Net Monthly Profit ≤ 0 for that account, performance share for that account that month is zero.

Billing is month-end oriented. Timing of invoices, credits for retainer, and any true-ups will follow the managed schedule communicated in onboarding or billing surfaces. Disputes over calculation should be raised promptly with supporting statements; good-faith review does not waive amounts clearly due under the schedule.

Self-run accounts are outside the performance-share calculation unless and until you convert them to managed under a written or electronically accepted managed engagement.

Prop firms impose daily loss limits, trailing or static drawdowns, news restrictions, consistency rules, minimum trading days, hedging bans, copy-trading policies, and other constraints that change without much notice.

You remain solely responsible for reading, understanding, and complying with each firm’s current rules for each evaluation and funded account. Configuring limits in Jireh tooling does not transfer that responsibility.

Automation, EAs, and risk gates may block or reduce trading to protect a ruleset. Blocks, pauses, or missed trades can cause an evaluation to fail or a funded account to underperform relative to discretionary trading. That operational reality is accepted when you enable automation.

When firms change rules, EAs and strategies may require updates. Managed desks may charge adapt-event fees for material rebuilds. Self-run partners remain responsible for deploying updates they choose to run.

Execution depends on third-party brokers, prop platforms, terminals (e.g., MT5, NinjaTrader, cTrader), bridges, APIs, market data feeds, VPS/hosting providers, internet connectivity, power, and cloud infrastructure.

Outages, latency, rejected orders, partial fills, requotes, data stalls, license server issues, OS updates, and human configuration error can interrupt trading or reporting. Jireh is not liable for losses arising from third-party failures outside its reasonable control.

You agree to maintain accurate credentials, secure devices, and timely responses when the desk requests information needed to restore a healthy bridge or deployment.

Jireh stores operator identity fields you provide, configuration inputs, execution profiles, operational events, messaging needed for desk work, billing metadata, and legal acceptance records (including timestamps, document versions, and acknowledgment flags).

Data is used to operate the desk, enforce entitlements, improve reliability and governance, meet accounting needs, and demonstrate acceptance of terms. See the Privacy page for additional detail; if conflict exists, the more specific privacy notice controls for data topics.

You should not upload secrets you are not authorized to share. You are responsible for the lawfulness of data you enter about third parties (e.g., team members) within your organization.

Acceptance records may be retained for audit and dispute purposes even after account closure, subject to applicable retention rules.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JIREH PROFITS AND ITS PRINCIPALS, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, FAILED EVALUATIONS, OR MISSED TRADES, EVEN IF ADVISED OF THE POSSIBILITY.

WHERE LIABILITY CANNOT BE EXCLUDED, AGGREGATE LIABILITY ARISING OUT OF THE SERVICES SHALL BE LIMITED TO THE FEES YOU PAID TO JIREH PROFITS FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS PRECEDING THE EVENT — EXCLUDING AMOUNTS THAT ARE THEMSELVES PERFORMANCE SHARES OF YOUR TRADING PROFITS.

Some jurisdictions do not allow certain limitations; in those places, limitations apply to the fullest extent permitted.

Unless a separate written agreement specifies otherwise, this Agreement is governed by the laws applicable to Jireh Profits’ principal place of business operations as designated by Jireh, without regard to conflict-of-law rules that would require another jurisdiction’s law.

Before filing a formal action, you agree to attempt good-faith written resolution with Jireh within thirty (30) days of notice of dispute. Nothing here waives either party’s right to seek emergency injunctive relief for IP or security harm.

If any provision is held unenforceable, the remainder continues in effect. Failure to enforce a provision is not a waiver.

This Agreement, together with the Privacy notice, Risk Disclosure pages, fee schedule surfaces, and any signed managed addendum, constitutes the entire understanding regarding the subjects covered and supersedes prior conflicting website stubs on those subjects.
